Terms of Service

1. Agreement

These Terms of Service govern your use of tryzippedscript.com and the ZippedScript document-workflow platform (the "Service") operated by ZippedScript Ltd ("the Company"), located at 555 West Hastings Street, Suite 1200, Vancouver, BC V6B 1A9. By creating an account, subscribing to a plan, or otherwise using the Service, you accept these Terms. Nothing in these Terms limits your statutory rights under the laws of your country of residence.

2. Use of the Service

ZippedScript is a business-to-business document automation platform. You are subscribing on behalf of an organization, and you represent that you have authority to bind that organization to these Terms.

• You must be of legal age in your jurisdiction or have parental consent, and you must have authority to enter this agreement on behalf of your organization.
• You agree not to use the Service unlawfully, to interfere with its operation, or to attempt unauthorized access to any part of the platform or its underlying systems.
• You agree not to use ZippedScript to process documents containing content that is illegal, defamatory, or in violation of a third party's rights.
• You may not scrape, reverse-engineer, or copy the Service except as permitted by mandatory law.
• You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account.

3. Intellectual Property

The Service, including its AI drafting models, routing logic, workflow templates, and user interface, is owned by ZippedScript Ltd or its licensors and is protected by international intellectual-property law. We grant you a limited, non-exclusive, non-transferable licence to use the Service for its intended purpose during the term of your subscription. No other rights are granted.

4. Your Documents and Content

You retain ownership of all documents, templates, and data you submit to ZippedScript. You grant us a limited licence to use, store, and process that content solely to provide the Service to you: to generate AI-assisted drafts, route documents to the approvers you designate, and produce the audit trail your account records. We do not claim any ownership over your documents or use them for any purpose other than delivering the Service.

You are responsible for ensuring that any documents you process through ZippedScript comply with applicable laws, including any consent obligations you have toward counterparties or employees whose personal information appears in those documents. ZippedScript processes such information as a data processor acting under your instructions.

5. Disclaimers

The Service is provided on an "as is" and "as available" basis. ZippedScript Ltd disclaims all warranties, express or implied, to the maximum extent permitted by applicable law, including warranties of merchantability, fitness for a particular purpose, and non-infringement. AI-generated document drafts are starting points for your review; they do not constitute legal advice and should be reviewed by a qualified professional before execution. Mandatory consumer warranties applicable in your country of residence are not affected by this disclaimer.

6. Limitation of Liability

To the maximum extent permitted by applicable law, the Company's total aggregate liability for any claim arising from or related to the Service will not exceed the greater of CAD 200 or the fees you paid to ZippedScript in the three months preceding the claim. This limit applies regardless of the legal theory under which the claim arises. Liability that cannot be limited under mandatory law (for example, liability for fraud or death/personal injury caused by negligence) is not affected.

7. Indemnification

You agree to indemnify and hold harmless ZippedScript Ltd and its officers, directors, employees, and contractors from any claims, losses, damages, costs, and expenses (including reasonable legal fees) arising from your use of the Service, your breach of these Terms, or your violation of any third-party right, including any claim related to documents or data you submit.

8. Termination

Either party may terminate a subscription at the end of the current billing period by following the in-product cancellation process. We may suspend or terminate your access immediately if you breach these Terms, engage in fraudulent activity, or present a risk to other users or the platform's integrity. On termination, your licence to use the Service ends. Sections that by their nature should survive termination, including sections 3, 5, 6, 7, and 9, will survive.

9. Governing Law and Jurisdiction

These Terms are governed by the laws of Canada, including applicable federal legislation and the laws of the Province of British Columbia, without regard to conflict-of-law principles.

Any dispute arising from these Terms or your use of the Service is subject to the non-exclusive jurisdiction of the competent courts in Vancouver, Canada. This does not limit mandatory consumer-protection rights that apply in your own country of residence.

10. Changes and Contact

We may update these Terms from time to time. Material changes will be communicated by email to your registered address and posted on this page with a revised "Last updated" date. Continued use of the Service after the effective date of a material change constitutes acceptance of the revised Terms.
